These Terms of Service (“Terms”) govern your access to and use of KNTRL (the “Service”), an AI spend & adoption intelligence product operated by AWSM LABS LLC, a Delaware limited liability company (“AWSM LABS,” “we,” “us”). By accessing the Service you agree to these Terms.
1. The Service
KNTRL connects to your AI and software tools to reconcile spend, seats and usage into a single view and surface optimization opportunities. Features, benchmarks and estimates are provided for informational purposes and may change.
2. Accounts & access
You are responsible for your account credentials, for authorizing the connections you enable, and for ensuring you have the right to grant KNTRL read access to the data sources you connect.
3. Acceptable use
You agree not to misuse the Service, attempt to access it other than through the interfaces we provide, reverse engineer it, or use it to violate any law or third-party right.
4. Fees
Paid plans are billed as a percentage of AI spend under management plus a one-time setup fee, per the tier that applies to your spend. Pilot fees are credited toward a full engagement on conversion. Fees are non-refundable except as required by law.
5. Estimates & no guarantee
Savings ranges, ROI multiples and benchmarks shown in the Service (including the pricing calculator) are estimates based on aggregated, anonymized data and are not guarantees. Actual results vary by stack, usage and scope.
6. Intellectual property
The Service, including all software, designs and content, is owned by AWSM LABS and its licensors. You retain ownership of your data; you grant us a limited license to process it to provide the Service.
7. Disclaimers & limitation of liability
The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, AWSM LABS will not be liable for any indirect, incidental or consequential damages, and our total liability is limited to the amounts you paid in the 12 months preceding the claim.
8. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Delaware.
